Legal is an important component in the success of your Home Business and is often ignored by new startup companies. Seeking Legal counsel early in your business may help avoid headaches and disasters later in your business life. For startup companies, it would be a good idea to seek counsel before even registering for your company.
When registering a company, you will first need to decide the type of company that you want to register. There is no fixed formula to decide this because different businesses have different needs. For example, if would like to protect yourself from personal liability, a Limited Liability Company would be suitable for you. If would like to avoid double taxation, then you should have a S corporation instead of a C corporation.
There are also other legal issues that you need to address such as basic zoning compliance, copyright and trademark advice.
For example, if you have an original and unique product that you feel would be an absolute hit in the market, it would be a good idea to have your product patented before releasing the product into the market or before seeking investors for your business venture. You will need a good attorney to help you check whether the product is indeed original and with the filing of the patent applications.
Needless to say, hiring an attorney is a necessity if you would like to start your company properly. Most business owners delay hiring an attorney till the last minute when they receive a summons or slapped with a million dollar lawsuit. When this moment comes, the legal fees that you should have paid to avoid the lawsuit would be insignificant compared to the cost of the lawsuit.
Types of Attorneys Like doctors, lawyers are becoming increasingly specialized. A lawyer who is good at doing wills may not be the best person to handle your business needs.
These are some of the skills you need the lawyer to have.
Contracts - You need the lawyer who can understand your business quickly and prepare contracts for your customers, suppliers or investors. Knowledge in Business Organization - He should be able to assist you in deciding what is the best business entity for your business needs. Real estate, Leases - If your Home Business expands and you need to have your own commercial space, a lawyer with the knowledge in this field would come in handy. Taxes and Licenses - The lawyer should be able to register your business for federal and state tax identification numbers and understand the impact of tax on the basic business transactions your business will likely to carry out. Intellectual Property - If you have any products, services, processes that is unique to your industry, it is certainly worthwhile to patent these as your own. This would give you a competitive edge. An IP lawyer should be able to advise you on this. To Your Success
